Sponsor & Exhibitor Terms

1. Scope

These Sponsor & Exhibitor Terms govern sponsorship and exhibition commitments at Monaco Trade Forum, in addition to our general Terms & Conditions. They apply between the Event Organiser and the organisation confirming a sponsorship or exhibition position ("Sponsor"). Where a signed sponsorship agreement or order confirmation exists between the Sponsor and the Event Organiser, the terms of that document take precedence over these Terms in the event of a conflict.

2. Sponsorship Positions and Pricing

Sponsorship tiers, exhibition positions, pricing, and included benefits are as published on the Sponsorship page at the time a position is confirmed. Positions are limited and allocated by order of confirmed commitment.

3. Payment and Deadlines

Payment terms, invoicing schedule, and any applicable deadlines are as set out in the applicable sponsorship agreement or invoice issued by the Event Organiser. A sponsorship or exhibition position is only confirmed once payment has been received in accordance with those terms.

4. Cancellation

Once a sponsorship or exhibition position has been confirmed and invoiced, amounts paid are non-refundable except as expressly agreed in writing by the Event Organiser or as required by applicable mandatory law. If a Sponsor withdraws after confirming a position, the Event Organiser may reallocate that position to another organisation.

5. Contracted Benefits

The Event Organiser will deliver the benefits described for the relevant tier on the Sponsorship page, or in the applicable sponsorship agreement, current at the time the Sponsor's position was confirmed. Where operational circumstances require it, the Event Organiser may substitute a contracted benefit with one of reasonably equivalent value, and will inform the Sponsor of any such substitution.

6. Operational Changes

The Event Organiser may make reasonable changes to the exhibition layout, programme schedule, or event format for operational, safety, or logistical reasons. Such changes do not, by themselves, constitute a breach of these Terms, provided the overall value of the Sponsor's contracted benefits is preserved.

7. Use of Trademarks and Logos

The Sponsor grants the Event Organiser a limited, non-exclusive licence to use the Sponsor's name, logo, and trademarks solely for the purpose of promoting Monaco Trade Forum and identifying the Sponsor's participation, in accordance with any brand guidelines the Sponsor provides. The Event Organiser grants the Sponsor a limited, non-exclusive licence to reference its status as a sponsor or exhibitor of Monaco Trade Forum, in accordance with the Event Organiser's brand guidelines. Both licences terminate upon expiry or termination of the sponsorship relationship, and neither party may use the other's name, logo, or trademarks beyond what is set out in this Section without prior written consent.

8. Sponsor-Supplied Materials

The Sponsor is solely responsible for the accuracy, legality, and intellectual property compliance of any materials, content, or products it supplies for use at or in connection with Monaco Trade Forum. The Sponsor indemnifies the Event Organiser against any third-party claims, losses, or costs arising from such materials.

9. Force Majeure

Neither party is liable for any failure or delay in performance caused by force majeure, as defined under Article 1351 of the Romanian Civil Code (an external, unforeseeable, and absolutely unavoidable event). Where a force majeure event affects Monaco Trade Forum, the Event Organiser will determine, acting reasonably, whether the event is postponed, rescheduled, held in an adapted format, or cancelled, and will communicate the consequences, including with respect to any refund or credit, to Sponsors.

10. Liability

To the fullest extent permitted by law, the Event Organiser's liability to a Sponsor in connection with a sponsorship or exhibition position is limited to the amount paid by that Sponsor for that position. Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded or limited under Romanian mandatory law, including Article 1355 of the Romanian Civil Code.

11. Governing Law & Jurisdiction

These Sponsor & Exhibitor Terms are governed by and construed in accordance with the laws of Romania, including the Romanian Civil Code and, where applicable, Regulation (EC) No 593/2008 on the law applicable to contractual obligations (Rome I). This does not exclude any overriding mandatory legal provisions applicable in the Principality of Monaco to the physical staging of the event within that jurisdiction. Any dispute arising out of or in connection with these Terms shall be subject to the competent courts of Romania.
